In plain words: Runsheet is a directory of US factories, a place to review them, and a production dashboard for brands and consultants. Your styles, tech packs, files and client data stay yours. Reviews have to be honest and first-hand, factories can respond but never pay to remove them, and AI-drafted tech packs are a starting point you are responsible for checking before you cut fabric. The full terms are below.
1. Who we are and what these terms cover
Runsheet (runsheet.tech, app.runsheet.tech, directory.runsheet.tech and related pages and emails — together, the “Service”) is operated by SÔZ Studios Atelier (“Runsheet”, “we”, “us”), based in Laguna Beach, California. These Terms of Service (“Terms”) are a contract between you and Runsheet. By browsing the directory, creating an account, listing a factory or service, submitting a review, posting a brief, or paying for a plan, you agree to them. If you use Runsheet on behalf of a company, you confirm you can bind that company.
Our Privacy Policy explains how we handle personal information and is part of these Terms.
2. The Service
Runsheet includes: (a) a public directory of US manufacturers, consultants, showrooms and suppliers; (b) community reviews of those businesses; (c) a production dashboard for brands and consultants covering styles, tech packs, sampling, costing, purchase orders, invoicing, line sheets, tasks and notes (the “Dashboard”); (d) an AI-assisted tech pack drafting tool; (e) production briefs that factories can respond to; (f) factory introductions; and (g) free planning tools and content. We may add, change or retire features. If a change materially reduces something you have paid for, we will tell you and you may cancel for a pro-rated refund of the unused period.
3. Accounts
You must be at least 18 to create an account. Keep your login credentials confidential; you are responsible for activity under your account and for the teammates you invite (“seats”). An account admin can add and remove seats and is responsible for their conduct. Tell us promptly at hello@runsheet.tech if you believe your account has been compromised. Logins are handled by Clerk on our behalf; older email-link (“magic link”) access remains valid until you attach it to a login.
4. Your content stays yours
Everything you put into the Dashboard — style records, photos, sketches, tech packs (uploaded or drafted), measurements, costing, files, notes, client and factory records, invoices, line sheets — is your content (“Your Content”). You own it. You grant Runsheet a limited licence to host, process, back up, display and transmit Your Content solely to provide the Service to you and the people you share it with (for example a factory you send a sampling round to, or a buyer you send a line sheet to). We do not sell Your Content, use it to train AI models, or show it to other customers. You can export it, and if you close your account we delete it within 90 days except where we must keep records for legal, tax or fraud-prevention reasons.
You are responsible for having the rights to what you upload. Do not upload content that infringes someone else’s intellectual property, that you are bound to keep confidential without permission, or that is unlawful.
5. AI-drafted tech packs and other generated output
The tech pack drafting tool uses third-party AI models (currently OpenAI) to turn your photo, sketch and description into technical flats, renders, a bill of materials, construction notes and a measurement spec. Generated output is a draft. It can contain errors — wrong measurements, missing components, construction details that do not match your intent. You must review and correct it before relying on it, sending it to a factory or cutting fabric. Runsheet is not liable for production losses, sample costs or delays that result from unreviewed generated output. You own the output to the extent permitted by law; we make no claim to it.
Drafts are metered: paid plans include a monthly allowance and free accounts include a first draft. Unused allowance does not roll over unless your plan says so.
6. Directory listings and claims
Directory listings are compiled from public sources, industry directories, submissions and the businesses themselves. Unclaimed listings are marked as such and their details are unverified. If you own or represent a listed business you may claim the listing, correct it, request verification, or ask us to remove it by writing to hello@runsheet.tech; we will act on removal requests within 10 business days unless the listing is needed to keep published reviews in context, in which case we will limit it to the business name and location. “Verified” means Runsheet has confirmed the business is real and operating as described at the time of verification; it is not a guarantee of quality, capacity or outcome.
Businesses cannot pay for ranking, placement, or the removal or editing of reviews. Paid factory plans buy visibility features and briefs, never review outcomes.
7. Reviews
Reviews must be first-hand, about a real production, sampling or sourcing engagement, and written by the person who had it (or a member of that team). You may not review your own business, a competitor, or a business you have been paid or otherwise compensated to review. We may ask for evidence of the engagement (an invoice, a tech pack, correspondence) and may decline or remove reviews we cannot reasonably verify, that contain personal attacks, confidential pricing you were bound not to disclose, or unlawful content. We do not edit the substance of reviews. Reviewed businesses may post one public response per review. By submitting a review you grant Runsheet a perpetual, worldwide licence to publish it on the Service and in our own marketing, attributed to the display name you chose.
8. Briefs, introductions and dealings with other users
Runsheet connects brands, consultants and factories. It is not a party to any contract between them. We do not guarantee that a factory will respond to a brief or introduction, that a consultant will accept work, or that any engagement will succeed. Vet the people you work with, agree terms in writing, and use deposits and samples the way you would anywhere. Line sheet orders placed by buyers are orders to you, not to Runsheet; you are responsible for fulfilling them and for any taxes.
9. Plans, payment and cancellation
Paid plans (for example Pro-Studio and Runsheet Core for consultants, Pro-Studio and brief packs for brands, factory plans) are billed by Stripe in US dollars at the price shown at checkout. Subscriptions renew automatically each period until cancelled. You can cancel any time from your account or by emailing hello@runsheet.tech; cancellation takes effect at the end of the current billing period and your data remains exactly as it is. We do not refund partial periods except where the law requires it or where Section 2 applies. Prices may change with at least 30 days’ notice by email; a change never applies to a period you have already paid for. If a payment fails we may downgrade the account to the free plan after reasonable notice; Your Content is never deleted for non-payment.
10. Acceptable use
- No scraping, bulk downloading or reselling of the directory, reviews or other users’ content. The directory is for finding and vetting partners, not for building a competing list.
- No misrepresenting who you are, which business you represent, or your relationship to a business you review.
- No uploading malware, probing the Service for vulnerabilities, or interfering with other users.
- No using Runsheet to send spam or to collect other users’ contact details for unsolicited outreach.
- No unlawful, infringing, defamatory or harassing content.
We may suspend or close accounts that break these rules, after notice where practical. Where we close an account for a breach, Section 4 still applies to Your Content.
11. Our intellectual property
The Service — its software, design, text, tools, trademarks (including “Runsheet” and the clipboard mark) and the directory as a compilation — belongs to Runsheet or its licensors. You may use it only as these Terms allow. Feedback you give us may be used without obligation to you.
12. Third-party services
We rely on providers to run the Service, including Vercel (hosting), Airtable (data storage), Clerk (authentication), Stripe (payments), Resend (email), OpenAI (AI drafting), Vercel Blob (file storage), Squarespace (marketing site) and Make (automation). Their handling of your data is described in our Privacy Policy. Links to third-party sites are provided for convenience; we are not responsible for them.
13. Disclaimers
The Service is provided “as is” and “as available”. To the fullest extent permitted by law we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that directory information, reviews, cost estimates, planning tools or generated tech packs are accurate, complete or suitable for your production. Apparel manufacturing carries real financial risk; nothing on Runsheet is professional, legal, financial or engineering advice.
14. Limitation of liability
To the fullest extent permitted by law, Runsheet and SÔZ Studios Atelier will not be liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, lost production, sample or material costs, or lost data, arising from your use of the Service, even if advised of the possibility. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us in the 12 months before the claim and (b) US$100. Some jurisdictions do not allow these limits; in that case they apply to the extent permitted.
15. Indemnity
You will defend and indemnify Runsheet against claims arising from Your Content, your reviews, your dealings with other users, or your breach of these Terms.
16. Copyright complaints
If you believe content on the Service infringes your copyright, email hello@runsheet.tech with the work, the location of the material, your contact details and a statement of good-faith belief and accuracy under penalty of perjury. We respond to valid notices under the DMCA and may terminate repeat infringers.
17. Governing law and disputes
These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules. Before filing a claim, you agree to contact us at hello@runsheet.tech and give us 30 days to try to resolve it. Any dispute not resolved informally will be brought in the state or federal courts located in Orange County, California, and you consent to their jurisdiction, except that either party may seek injunctive relief anywhere to protect intellectual property.
18. Changes to these Terms
We may update these Terms. For material changes we will email account holders or post a notice in the Dashboard at least 14 days before they take effect. Continued use after that date means you accept the new Terms; if you do not, cancel before they take effect.
19. Everything else
These Terms are the entire agreement between you and Runsheet about the Service. If any part is unenforceable, the rest stands. You may not assign these Terms; we may assign them to a successor of the business. Our failure to enforce a term is not a waiver.
